This website is operated by Osami ("we," "us," "our"). By visiting osamiofficial.com or purchasing from us, you agree to these Terms of Service, together with our Privacy Policy, Shipping Policy, and Returns Policy, each of which is incorporated here by reference.
Please read these Terms before using the site. If you do not agree to them, please do not use the site or place an order.
Our store is hosted on Shopify Inc., which provides the e-commerce platform through which we sell to you.
1. Using this site
By agreeing to these Terms, you confirm that you are at least the age of majority in your state, province, or country of residence, or that you are the age of majority and have consented to allow any minor dependent in your care to use this site.
You may not use our products or this site for any unlawful purpose, or in violation of any law in your jurisdiction, including copyright law. You must not transmit any virus, worm, or code of a destructive nature. Breach of these Terms may result in immediate termination of your access to our services.
We reserve the right to refuse service to anyone, for any lawful reason, at any time.
2. Products, limited runs, and availability
Osami produces in limited quantities. We make no more than fifty units of any style, and most releases are considerably smaller. Pieces are released in drops, and when a run sells through we are under no obligation to reproduce it. Availability, sizing, and restocking are at our sole discretion.
We have made every effort to display the colors, textures, and finishes of our products as accurately as possible. Screens vary, and we cannot guarantee that your display renders a color exactly as it appears in person. Small variations in hand-finished detail, including block printing and hand beadwork, are inherent to the work and are not defects.
We reserve the right to limit the quantities of any product offered, and to limit or refuse orders that in our sole judgment appear to be placed by dealers, resellers, or distributors, or that appear automated. We may limit quantities purchased per person, per household, or per order, including across orders sharing a customer account, payment method, billing address, or shipping address.
We reserve the right to modify or discontinue any product or any part of the service at any time without notice, and we are not liable to you or any third party for doing so.
3. Pricing and errors
Prices are subject to change without notice, and prices vary between styles.
Occasionally information on this site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such error and to change, update, or cancel an order if any information was inaccurate, including after you have submitted your order. Where we cancel an order for this reason, we will refund you in full.
4. Orders, payment, and account information
We reserve the right to refuse or cancel any order. Where we make a change to or cancel an order, we will attempt to contact you using the email address, billing address, or phone number provided at the time of purchase.
You agree to provide current, complete, and accurate purchase and account information, and to update it promptly so we can complete your transactions and reach you when needed.
5. Shipping, duties, and delivery
Shipping terms, rates, and estimated delivery windows are set out in our Shipping Policy.
Orders shipped outside the United States are sent on a delivered-duty-paid basis. Import duties and taxes are calculated and collected at checkout and remitted to the relevant customs authority on your behalf. Because these amounts are paid to your government rather than retained by us, they are not refundable by Osami. Where a return is accepted, you may be able to reclaim duties directly from your local customs authority.
Estimated delivery windows are estimates. We are not liable for delays caused by carriers, customs, weather, or other events outside our control. Risk of loss passes to you upon delivery to the carrier.
6. Returns and exchanges
Our Returns Policy governs all returns and exchanges and forms part of these Terms. In summary: pieces may be returned or exchanged within 21 days of delivery, unworn and with tags attached. We do not designate items as final sale. Full terms, including the treatment of international returns, are set out in the Returns Policy.
7. Intellectual property and trademarks
All content on this site — including text, editorial, photography, film, garment designs, patterns, graphics, and the compilation of all of it — is owned by Osami or licensed to us, and is protected by copyright and other intellectual property law.
Osami's trademarks include but are not limited to the Osami name, the Osami logotype, and Osami & Friends. Your use of this site does not grant you any right or license to use our trademarks.
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the site or its content without our express written permission. This includes reproducing our garment designs, patterns, or craft placements.
8. Your submissions
If you send us creative ideas, suggestions, proposals, reviews, photographs, or other materials, whether at our request or not ("Submissions"), you grant us a non-exclusive, royalty-free, worldwide license to use, edit, copy, publish, distribute, and translate them in any medium. We are under no obligation to keep Submissions confidential, to compensate you for them, or to respond to them.
You are solely responsible for your Submissions and confirm they do not violate any third party's rights, including copyright, trademark, privacy, or personality rights, and that they contain nothing unlawful, defamatory, obscene, or malicious. We may, but are not obliged to, monitor, edit, or remove content at our sole discretion.
9. Third-party links and tools
This site may contain links to third-party websites and may provide access to third-party tools that we neither monitor nor control. Such tools are provided "as is" and "as available" without warranty of any kind. We are not responsible for the content, accuracy, products, or practices of any third-party site, and we are not liable for any harm arising from your dealings with them. Please review their terms and policies before engaging with them.
10. Prohibited uses
In addition to the prohibitions set out elsewhere in these Terms, you may not use the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any international, federal, state, provincial, or local law or regulation; (d) to infringe our intellectual property rights or those of others; (e) to harass, abuse, insult, harm, defame, disparage, intimidate, or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the site. We may terminate your access for violating any of these prohibitions.
11. Accuracy of information on this site
Material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions. This site may contain historical information, which is provided for reference only and is not current. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on it.
12. Disclaimer of warranties
We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free, or that the results obtained from it will be accurate or reliable.
Except as expressly stated by us, the service and all products delivered through it are provided "as is" and "as available," without any representation, warranty, or condition of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
13. Limitation of liability
In no case shall Osami, or our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, or replacement costs, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the service or any product purchased through it, even if advised of the possibility.
Where liability cannot be excluded, our total liability to you for any claim arising out of or relating to these Terms or your use of the service shall not exceed the amount you paid for the product giving rise to the claim.
Some states and jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits any right you have under applicable consumer protection law that cannot lawfully be waived.
14. Indemnification
You agree to indemnify, defend, and hold harmless Osami and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of your breach of these Terms or the documents incorporated by reference, or your violation of any law or the rights of a third party.
15. Governing law and disputes
These Terms and any separate agreements under which we provide you services are governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or your use of the service shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief where appropriate, or from bringing a claim in small claims court.

16. SMS/MMS mobile messaging program

Osami offers a mobile messaging program (the "Program"), which you agree to use subject to these terms and our Privacy Policy. By opting in, you accept these terms, including your agreement to resolve disputes relating to the Program through binding, individual arbitration as set out below.
Opting in. The Program allows users to receive SMS/MMS messages by affirmatively opting in, such as through an enrollment form. By participating, you agree to receive autodialed or prerecorded marketing messages at the number associated with your opt-in. Consent is not a condition of purchase. Message and data rates may apply.
Opting out. Reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message to opt out. You may receive one further message confirming your decision. These are the only recognized methods of opting out; emailing us or asking verbally is not.
Duty to notify. If you stop using the mobile number registered to the Program — including cancelling your plan or transferring the number — you agree to opt out first. If you do not, you agree to be responsible for costs and liabilities (including attorneys' fees) incurred by us or our messaging partners as a result of claims brought by whoever is later assigned that number. You agree to indemnify and hold Osami harmless from any claim arising from your failure to notify us of such a change, including claims under the Telephone Consumer Protection Act, 47 U.S.C. § 227, or similar state and federal laws.
Program description. Participants can expect messages concerning the marketing and sale of products, services, and events.
Cost and frequency. Message and data rates may apply. The Program involves recurring messages, and additional messages may be sent based on your interaction with us.
Support. Text HELP to the number you received messages from, or email support@osamiofficial.com. Email is not an acceptable method of opting out.
MMS disclosure. The Program will send SMS if your device does not support MMS.
Disclaimer. The Program is offered on an "as-is" basis, may not be available in all areas at all times, and may not continue to work following product, software, coverage, or other changes made by your wireless carrier. We are not liable for delays or failures in the receipt of messages. Delivery depends on transmission by your wireless provider and is outside our control. T-Mobile is not liable for delayed or undelivered messages.
Participant requirements. You must have a two-way messaging capable device, a participating wireless carrier, and an active text messaging service.
Age restriction. You may not use the Program if you are under thirteen. If you are between thirteen and eighteen, you must have a parent's or legal guardian's permission.
Prohibited content. You agree not to send fraudulent, libelous, defamatory, threatening, harassing, or stalking content; profanity, obscenity, violence, bigotry, or discriminatory content; pirated programs, viruses, or harmful code; any unlawful product, service, or promotion; any content implicating personal health information protected under HIPAA or the HITECH Act; or any content prohibited by applicable law.
Dispute resolution. Any dispute between you and Osami, or between you and any third-party provider transmitting messages on our behalf, arising out of or relating to the Program will, to the fullest extent permitted by law, be determined by binding arbitration in Los Angeles, California before one arbitrator, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator shall apply the substantive laws of the Federal Judicial Circuit in which Osami's principal place of business is located. Within ten calendar days of a demand being served, the parties must jointly select an arbitrator with at least five years' experience and knowledge of the subject matter; failing agreement, either party may petition the AAA to appoint one meeting the same requirement. The arbitrator shall decide enforceability and interpretation of this arbitration agreement in accordance with the Federal Arbitration Act. The AAA's rules governing Emergency Measures of Protection apply in lieu of seeking emergency injunctive relief from a court. The decision is final and binding, with no appeal except as provided in section 10 of the FAA. Each party bears its share of arbitrator and administration fees, though the arbitrator may order one party to pay all or part of such fees as part of a reasoned decision. The arbitrator may award attorneys' fees only to the extent expressly authorized by statute or contract, and has no authority to award punitive damages; each party waives any right to seek punitive damages in arbitration. The parties agree to arbitrate solely on an individual basis; this agreement does not permit class arbitration or claims brought as a plaintiff or class member in any class or representative proceeding. Neither party nor the arbitrator may disclose the existence, content, or results of any arbitration without prior written consent of both parties, except as required by law or to protect a legal right. If any term of this section is invalid or unenforceable in a jurisdiction, that shall not affect the remaining terms or their enforceability elsewhere. If a dispute proceeds in court rather than arbitration, both parties waive any right to a jury trial. This provision survives termination of your participation in the Program.

Your submission of personal information through this site is governed by our Privacy Policy.
We use cookies to operate the site, remember your preferences, and understand how the site is used. You can set your browser to notify you when a cookie is set, allowing you to refuse or delete it. Refusing certain cookies may affect how parts of the site function. Full detail is in our Privacy Policy.
18. Promotions
From time to time we may offer limited-time promotions, discounts, or special offers. Where a promotion carries terms that differ from these Terms — including any variation to our standard returns terms — those terms will be stated clearly at the time of the promotion and will prevail over any conflicting terms elsewhere on the site for orders placed under that promotion.
Unless expressly stated otherwise, promotions cannot be combined with any other discount, code, or offer on the same order. Promotional benefits are subject to availability, are non-transferable, are not redeemable for cash, and may be modified or withdrawn at any time where permitted by law. We reserve the right to modify, suspend, or terminate any promotion, and to correct pricing or descriptive errors, at any time and including after an order has been placed, where permitted by law.
19. Termination, severability, and entire agreement
Obligations and liabilities incurred before termination survive termination for all purposes. These Terms are effective unless and until terminated by either you or us. You may terminate at any time by ceasing to use the site. If we judge that you have failed to comply with any provision of these Terms, we may terminate this agreement without notice; you remain liable for all amounts due through the date of termination.
If any provision of these Terms is found unlawful, void, or unenforceable, it shall be enforceable to the fullest extent permitted by law, and the unenforceable portion severed, without affecting the validity of the remaining provisions.
Our failure to exercise or enforce any right or provision does not constitute a waiver of it. These Terms, together with the policies posted on this site, constitute the entire agreement between you and us and supersede any prior agreements, communications, or proposals, whether oral or written, including any prior version of these Terms. Any ambiguity shall not be construed against the drafting party.

You can review the current version of these Terms at any time on this page. We reserve the right to update, change, or replace any part of them by posting changes to this site. It is your responsibility to check periodically. Your continued use of the site following the posting of changes constitutes acceptance of them.
